Terms of Service
These Terms govern your access to and use of Nemesis Blue, Nemesis Red, and any other products or services offered by Autogon Inc. operating as Nemesis Labs (collectively, the “Services”). By installing, downloading, or using the Services, you agree to these Terms. If you do not agree, do not use the Services.
1. Who we are
The Services are operated by Autogon Inc. (“Company,” “we,” “us”), a U.S. corporation. “Nemesis Labs” is our consumer marketing brand. Where these Terms refer to “Nemesis Labs,” the contracting party is Autogon Inc.
2. The license we grant you
Subject to your compliance with these Terms and the Acceptable Use Policy, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Services for their intended purpose.
2.1 Nemesis Blue
Free tier: one device, personal or organizational use, no commercial resale. Paid tiers (Pro, Family, Business, MSSP): per the seat counts purchased.
2.2 Nemesis Red
Red is license-gated and governed by a separate license agreement issued on approval of your application. These Terms apply alongside that license. Where they conflict, the specific license terms win.
3. What you may not do
The full list lives in our Acceptable Use Policy. In summary, you may not: use the Services to attack systems you do not own or have written consent to test; circumvent licensing or seat limits; resell or sublicense without written authorization; remove or obscure attribution or license notices; reverse-engineer for the purpose of building a competing product.
4. Payment, renewal, refunds
Paid tiers bill via the payment provider listed at checkout (Stripe or Paystack depending on your region). Subscriptions auto-renew at the end of each billing cycle unless cancelled via the customer portal we email after checkout. You may cancel at any time; cancellation prevents the next charge but does not refund the current term.
Refunds are at our discretion and granted on a case-by-case basis. Email [email protected] within 30 days of charge for review. Trial users who have not been charged are not entitled to a refund.
5. Your content and data
We don't claim ownership of any data your installation of the Services produces or processes. You retain all rights to your data. We process limited operational telemetry as described in our Privacy Policy. Detection events, scans, and pentest findings remain yours.
6. Warranty disclaimer
The Services are provided “as is” and “as available,” without warranty of any kind, express or implied. We do not warrant that the Services will be uninterrupted, error-free, secure against every adversary, or fit for any particular purpose. Security software is a defense in depth and cannot guarantee that any specific attack will be prevented, detected, or remediated.
For Nemesis Red specifically: outputs (findings, reports, exploit chains) are produced by automated reasoning and may contain errors, false positives, or omissions. You are solely responsible for reviewing, validating, and acting on any output before relying on it for a security decision.
7. Limitation of liability
To the maximum extent permitted by law, Autogon Inc. and its affiliates, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, data, business, or goodwill, arising out of or in connection with your use of the Services, even if advised of the possibility of such damages.
Our total cumulative liability for any claim arising out of or in connection with the Services will not exceed the greater of (a) the amount you paid us in the twelve months preceding the claim, or (b) one hundred U.S. dollars ($100).
8. Indemnification
You agree to defend, indemnify, and hold harmless Autogon Inc. from any claim, loss, liability, demand, damage, cost, or expense (including attorneys' fees) arising out of or related to (a) your use of the Services, (b) your violation of these Terms or the Acceptable Use Policy, or (c) your violation of any law or any third-party right, including the right to privacy or intellectual property.
9. Termination
We may suspend or terminate your access to the Services at any time, with or without notice, for breach of these Terms or the Acceptable Use Policy. On termination, your right to use the Services ends immediately. Sections that by their nature survive termination (including disclaimers, limitations of liability, indemnification, and dispute resolution) will survive.
10. Governing law and dispute resolution
These Terms are governed by the laws of the State of Delaware, U.S.A., without regard to its conflict-of-laws principles. Any dispute arising out of or in connection with these Terms will be resolved by binding arbitration in Wilmington, Delaware, under the rules of the American Arbitration Association, except that either party may seek injunctive relief in any court of competent jurisdiction for actual or threatened infringement of intellectual property rights.
11. Changes to these Terms
We may update these Terms from time to time. Material changes will be notified at least thirty (30) days in advance via email or in-product notice. Continued use after the effective date of the update constitutes acceptance of the revised Terms.
